These Terms and Conditions ("Terms") are a legal agreement between you ("User," "you," or "your") and Cognitive Jump LLC ("Company," "we," "us," or "our"), a Nevada limited liability company, governing your access to and use of the BrainJamz mobile application ("App") and all related services, features, and content.
By downloading, installing, creating an account, or otherwise accessing or using the App, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use the App.
You must be at least 13 years of age to use the App. If you are between 13 and 17 years of age, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf and consents to your use of the App. We do not knowingly collect personal information from children under 13. If we learn that we have collected personal information from a child under 13, we will delete that information promptly.
By using the App, you represent and warrant that you meet these eligibility requirements.

We reserve the right to suspend or terminate your account if any information provided is inaccurate, misleading, or violates these Terms.
BrainJamz offers subscription plans with various billing periods (such as weekly and annual options). Some plans may include a free trial period. Current pricing, plan details, and any available free trial offers are displayed in the App at the time of purchase and in the applicable app store listing.
Prices may vary by region and are subject to change. We reserve the right to change subscription pricing at any time. Any price changes will take effect at the start of your next billing cycle following notice of the change.
If you sign up for a plan that includes a free trial, you will not be charged during the trial period. At the end of the free trial, your subscription will automatically convert to a paid subscription and you will be charged the applicable subscription fee unless you cancel before the trial ends. You may cancel your free trial at any time through your device's app store subscription settings (Apple App Store or Google Play Store).
Your subscription will automatically renew at the end of each billing period (weekly or annually, depending on your plan) at the then-current subscription price, unless you cancel at least 24 hours before the end of the current billing period. Your app store account (Apple ID or Google Play account) will be charged for renewal within 24 hours prior to the end of the current billing period.
You may cancel your subscription at any time. Because subscriptions are processed through the Apple App Store or Google Play Store, you must cancel through your device's subscription settings:
Cancellation takes effect at the end of the current billing period. You will retain access to premium features until the end of the period you have already paid for. Deleting the App does not cancel your subscription.
All purchases are processed by Apple or Google. Refund requests must be directed to the applicable app store:
We do not process payments or refunds directly. Refund eligibility is determined by the applicable app store's refund policies.
BrainJamz uses artificial intelligence services, including OpenAI and Microsoft Azure Text to Speech, to generate flashcard translations, example content, and audio files based on user requests.
When you create a flashcard, the AI-generated translation and audio become shared platform resources stored in our database. If another user subsequently requests the same flashcard content, the existing translation and audio may be served from this shared database rather than generating new content. This approach improves performance and reduces redundancy.

The App includes a Community Library feature containing pre-made flashcard decks and content created by Cognitive Jump. This content is provided for your personal, non-commercial use within the App.

We reserve the right, but are not obligated, to review, monitor, and remove any user-generated flashcard content at our sole discretion if we determine it violates these Terms or is otherwise objectionable. We are not responsible for monitoring all content and do not guarantee that objectionable content will be identified or removed.
Violation of this section may result in the removal of your content, suspension or termination of your account, or any other action we deem appropriate.
BrainJamz is designed to support hands-free, audio-based studying during activities such as driving, jogging, cycling, exercising, commuting, and other daily routines. The App is compatible with Apple CarPlay, vehicle audio systems, and headphones. However, your safety and the safety of those around you is your responsibility at all times.
By using the App while operating a vehicle, you acknowledge and agree that:

COGNITIVE JUMP IS NOT RESPONSIBLE FOR ANY ACCIDENTS, INJURIES, DEATHS, PROPERTY DAMAGE, TRAFFIC VIOLATIONS, OR ANY OTHER CONSEQUENCES ARISING FROM YOUR USE OF THE APP WHILE OPERATING A VEHICLE, EXERCISING, OR ENGAGING IN ANY OTHER ACTIVITY THAT REQUIRES YOUR ATTENTION. Use of the App during any physical activity is entirely at your own risk.
The App, including its design, code, features, graphics, logos, trademarks, and all content provided by Cognitive Jump (including Community Library content), is the property of Cognitive Jump LLC and is protected by intellectual property laws. You may not:
We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial educational purposes in accordance with these Terms.
Certain features of the App use third-party artificial intelligence services (including OpenAI and Microsoft Azure) to generate translations, example sentences, and audio. You acknowledge and agree that:

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, COGNITIVE JUMP DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT:

Content provided through the App, including AI-generated translations and flashcard material, is for general educational purposes only. It should not be relied upon as the sole source of accuracy for academic examinations, professional certifications, medical decisions, or any other purpose where incorrect information could cause harm. You are responsible for verifying the accuracy of any content used for critical purposes.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL COGNITIVE JUMP LLC, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, LOSS OF GOODWILL, OR DAMAGES RESULTING FROM:
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE APP EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR FIFTY DOLLARS ($50.00), WHICHEVER IS GREATER.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
You and Cognitive Jump agree that any dispute, claim, or controversy arising out of or relating to these Terms or the use of the App ("Dispute") shall be resolved exclusively through final and binding individual arbitration, rather than in court, except that either party may bring an individual action in small claims court if the claim qualifies.
Arbitration shall be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect. The arbitration shall take place in Clark County, Nevada, or at another mutually agreed location, or may be conducted by phone, video conference, or based on written submissions if agreed by both parties. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
YOU AND COGNITIVE JUMP AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. Unless both you and Cognitive Jump agree otherwise, the arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.
You have the right to opt out of this arbitration agreement by sending written notice of your decision to opt out to support@brainjamz.com within 30 days of first accepting these Terms. Your notice must include your name, email address associated with your account, and a clear statement that you wish to opt out of the arbitration provision. If you opt out, the remaining provisions of these Terms will continue to apply.
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement or misappropriation of intellectual property rights.
These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, United States, without regard to its conflict of law provisions. To the extent that litigation is permitted under these Terms, you consent to the exclusive jurisdiction of the state and federal courts located in Clark County, Nevada.
We may suspend or terminate your access to the App at any time, with or without cause, and with or without notice, including if we reasonably believe you have violated these Terms. Upon termination:
You may terminate your account at any time by using the in-app account deletion feature in Settings, or by contacting us at support@brainjamz.com. Terminating your account does not automatically cancel your subscription; you must cancel your subscription separately through the Apple App Store or Google Play Store as described in Section 3.
You agree to indemnify, defend, and hold harmless Cognitive Jump LLC, its officers, directors, members, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
If you provide us with any feedback, suggestions, ideas, feature requests, or recommendations regarding the App (whether through the App, email, our feedback portal, or any other channel), you agree that:
You represent that any feedback you provide does not infringe on the intellectual property or proprietary rights of any third party.
The App integrates with third-party services to provide its features. These include, but are not limited to, Google Firebase, OpenAI, Microsoft Azure, and analytics providers. Your use of the App may be subject to the terms and policies of these third-party providers. We are not responsible for the practices, content, or availability of any third-party services.
The App is distributed through the Apple App Store and Google Play Store. Your download and use of the App is also subject to the terms and conditions of the applicable app store.
The following terms apply to your use of the App as downloaded from the Apple App Store or Google Play Store:
You acknowledge that these Terms are between you and Cognitive Jump only, and not with Apple Inc. ("Apple") or Google LLC ("Google"). Cognitive Jump, not Apple or Google, is solely responsible for the App and its content.
The license granted to you for the App is limited to a non-transferable license to use the App on any device that you own or control, as permitted by the usage rules set forth in the applicable app store terms of service.
Cognitive Jump is solely responsible for providing any maintenance and support services for the App. Apple and Google have no obligation whatsoever to furnish any maintenance and support services with respect to the App.
In the event of any failure of the App to conform to any applicable warranty, you may notify Apple or Google and they may refund the purchase price (if any) for the App. To the maximum extent permitted by applicable law, Apple and Google have no other warranty obligation whatsoever with respect to the App.
Cognitive Jump, not Apple or Google, is responsible for addressing any claims you or any third party may have relating to the App or your possession and use of the App, including but not limited to: (a) product liability claims; (b) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer protection, privacy, or similar legislation.
In the event of any third-party claim that the App or your possession and use of the App infringes that third party's intellectual property rights, Cognitive Jump, not Apple or Google, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.
Apple and its subsidiaries are third-party beneficiaries of these Terms. Upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary thereof. Google and its subsidiaries are also third-party beneficiaries of these Terms to the extent required by the Google Play Store terms of service.
You represent and warrant that: (a) you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a "terrorist supporting" country; and (b) you are not listed on any U.S. Government list of prohibited or restricted parties. You agree to comply with all applicable export and re-export control laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce, trade and economic sanctions maintained by the Treasury Department's Office of Foreign Assets Control (OFAC), and the International Traffic in Arms Regulations maintained by the Department of State.
The App may send push notifications for study reminders, goal tracking, and other features. You can manage or disable push notifications at any time through your device's settings. Push notifications are not required for the App to function.
We reserve the right to modify, update, suspend, or discontinue any part of the App at any time without prior notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the App or any feature thereof.
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page and may notify you through the App or by other reasonable means. Your continued use of the App after any changes to these Terms constitutes your acceptance of the updated Terms. If you do not agree with the updated Terms, you must stop using the App.
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Cognitive Jump regarding your use of the App and supersede all prior agreements and understandings.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.
Our failure to enforce any right or provision of these Terms shall not be considered a waiver of that right or provision.
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, riots, government actions, internet disruptions, or failures of third-party services.
